Corporate Structure Explained
The Nicaragua Corporation (Sociedad Anónima — SA)
- It is the most famous and easy corporate vehicle to establish a business. The Nicaragua Corporation shall appoint a minimum of one director and two shareholders, who may be local or foreign citizen. To complete the registration process there is a requirement of at least a USD 1 paid-up capital.
- This corporation shall appoint a legal auditor and it shall prepare and present yearly audited financial statements.
The Nicaragua branch (Sucrusal)
- A branch of a foreign entity may be registered in Nicaragua. The holding company is liable for the organization and its operations. It shall appoint a legal representative, who must be a local resident of Nicaragua.
